Welcome to Attndly. These Terms and Conditions ("Terms") govern your use of the Attndly platform ("Platform"), operated by Attndly ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
1. Definitions
- "Creator" refers to any user who creates and manages events on the Platform.
- "Attendee" refers to any person who registers for or purchases a ticket to an event.
- "Buyer" refers to any person who completes a ticket purchase, whether for themselves or on behalf of others.
- "Team Member" refers to a user granted access to manage a Creator's events through a team invitation.
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You may register using your email address or through Google authentication.
- You must verify your email address to access all Platform features.
- You must be at least 13 years old to create an account.
3. Event Creation and Management
Creator Responsibilities
- Creators are solely responsible for the accuracy of their event information, including dates, times, location, and descriptions.
- Creators must ensure they have the right and authority to host the events they list on the Platform.
- Creators are responsible for fulfilling their obligations to Attendees, including delivering the event as described.
- Events may be set as physical or virtual. For virtual events, Creators are responsible for providing access to the virtual venue.
Event Publishing
- Events may be saved as drafts or published. Only published events are visible to the public.
- Creators may unpublish or cancel events at any time, subject to their obligations to ticket holders.
4. Tickets and Pricing
Ticket Types
- Creators may offer free or paid tickets for their events.
- Each ticket type may have its own price, capacity, and sale window.
- Creators may optionally enable donations on their events.
Platform Fees
- Free events and free tickets incur no fees.
- For paid tickets, we charge a service fee and a processing fee per ticket sold. Fee rates vary by country and are displayed on our pricing page.
- Creators may choose to pass fees on to Attendees or absorb them. This choice is made per ticket.
- We reserve the right to update our fee structure. Changes will be communicated in advance and will not affect tickets already on sale.
Minimum Pricing
When a Creator chooses to absorb fees, ticket prices must meet a minimum threshold to ensure the Creator receives a positive payout. The Platform enforces this minimum during ticket creation.
5. Purchases and Payments
- All payments are processed through Paystack, our third-party payment processor. By making a purchase, you also agree to Paystack's terms of service.
- Prices are displayed in the currency of the event's country (NGN, GHS, ZAR, or KES).
- A purchase is confirmed only after successful payment verification. You will receive a confirmation with your ticket details and a unique check-in code.
- Attndly is not responsible for payment failures caused by your bank, payment provider, or network issues.
6. Payouts
- Creators must set up a valid payout account (bank account) for each currency in which they sell paid tickets.
- Payouts are processed automatically after ticket sales. Payout timelines vary by country:
- Nigeria and Ghana: Next working day after sale
- Kenya and South Africa: Two working days after sale
- Payout amounts reflect ticket revenue minus applicable Platform fees.
- We do not charge additional fees for payouts.
7. Refunds and Cancellations
- Refund policies are determined by the event Creator. Attndly does not set or enforce refund policies on behalf of Creators.
- If a Creator cancels an event, they are responsible for communicating with and refunding their Attendees.
- Attndly is not liable for any losses arising from event cancellations or changes made by Creators.
8. Attendee Data and Check-In
- Each Attendee receives a unique check-in code and QR code for event entry.
- Attendee data (name, email, phone) is shared with the event Creator for event management purposes.
- Creators may enable Google Sheets integration to sync attendee data. By enabling this, Creators are responsible for the handling of that data in their Google account.
- We may send event reminders to Attendees on behalf of the Creator (24 hours and 30 minutes before the event).
9. Teams and Collaboration
- Creators may invite Team Members to help manage their events.
- Team invitations are sent via email and expire if not accepted within the designated period.
- Creators may grant Team Members access to specific events or all events.
- Creators are responsible for the actions of their Team Members on the Platform.
10. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or to promote illegal activities
- Create fraudulent events or misrepresent event details
- Attempt to circumvent Platform fees or manipulate the payment system
- Collect or harvest personal data of other users without their consent
- Interfere with or disrupt the Platform's infrastructure or security
- Resell tickets obtained through the Platform at inflated prices without the Creator's authorization
- Impersonate another person or entity
11. Intellectual Property
- The Attndly name, logo, and Platform design are our intellectual property.
- Creators retain ownership of their event content (descriptions, images, etc.) but grant us a non-exclusive license to display it on the Platform.
- You may not reproduce, distribute, or create derivative works from our Platform without written permission.
12. Limitation of Liability
- Attndly serves as a platform connecting Creators and Attendees. We are not the organizer of any event listed on the Platform.
- We are not liable for the quality, safety, or legality of events listed on the Platform.
- We are not responsible for disputes between Creators and Attendees.
- To the maximum extent permitted by law, our total liability to you shall not exceed the amount of fees you have paid to us in the 12 months preceding the claim.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components.
14. Account Termination
- You may delete your account at any time.
- We may suspend or terminate your account if you violate these Terms or engage in prohibited conduct.
- Upon termination, your right to use the Platform ceases immediately. Any pending payouts will be processed according to our standard schedule.
15. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Platform after changes constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify you via email or through the Platform.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
